1. The Company is a Public Authority as provided under the said Karnataka Right to Information Act 2000 and was established in 1966. It is a Government Company within the meaning of Sec617 of the Companies Act, 1956. Its share capital is fully held by Karnataka State Industrial Investment & Development Corporation Ltd.,(KSIIDC)Bangalore, which is a Government of Karnataka Company. The composition of the Board of Directors is decided by KSIIDC from time to time.

2. The Company is a commercial enterprise involved in marketing/trading and service functions with activities in Karnataka and oustation branches at Delhi, Mumbai and Chennai. It is engaged in marketing of industrial and Consumer goods and is the sole selling agent for the Karnataka State Lotteries. It is the Custodian of the Bangalore Air Cargo Complex and has a Tours & Travels Division. It is also engaed in Hire Purchase business for the employees of the Government, State PSUs, Boards, Authorities etc. MSIL operates 'Mandara' showroom at Lavelle Road, Bangalore for sale of silk sarees & other items. It operate 3 franchise shops for the sale of its products and 2 retail liquor shops in Bangalore. It has commenced chit funds business during January 2005

3. The powers and duties of the Officers and employees are delegated by the Managing Director of the Company or the concerned Head of the Depatment as may be required from time to time. The decision making process by the Officers & employees is based on the laid down procedures of the Company.

4. The Company functions as per the powers contanied in the Memorandum of Association, Articles of Association, Companies Act,1956 and other applicable Acts and Rules. The Company has an Officer from the Indian Administrative Service, appointed by KSIIDC, as the Managing Director, who is the Chief Executive Officer under whom the various Heads of the Department function. The Managing Director works under the supintendance, direction and control of the Board of Directors which lays down the policy for the Company.

5. The Company has notified the Competent Authority for enabling supply of
information that may be sought by the Citizens of the State, as provided under the Act. Any citizens desirous of obtaining information under the Act can directly seek the same from the Competent Authority by making an application in that behalf. The Appellate Authority has also ben notified.
